Export Trading Group (ETG)

Advised on the acquisition of 100% of the Ivorian subsidiary of Yara International ASA, a leading Norwegian chemical company specializing in the production, distribution and sale of nitrogen-based mineral fertilizers. The assignment included carrying out legal due diligence, drafting and negotiating the share purchase agreement, and notifying the transaction to the WAEMU Competition Commission.

Coris Bank International Group

Assisté, a major pan-African banking institution, in the acquisition of Standard Bank's retail banking activities in Côte d'Ivoire. The work covered legal and regulatory due diligence, preparation of the legal due diligence report, assistance with the drafting of binding offers, review of the business sale agreement, and support through to the signing and closing of the transaction.

Ethos Energy

Assisted a global power generation company, headquartered in the UK, in setting up operations in Côte d'Ivoire as part of a major local energy project. The assignment included setting up a local branch, registering it with the tax authorities and reviewing the standard employment contract for local staff.

British American Tobacco

Advised on the sale of its portfolio of trademarks and selected assets to the Adinkra group. The assignment involved high-level advice on the OAPI intellectual property regime, review of transaction documents and completion of registration formalities.
