Biography
Ian is a licensed corporate and commercial lawyer in the Republic of Rwanda, with extensive experience in local and cross-border transactions.
He has represented a wide range of clients, including private and public companies, as well as international organizations, in various areas such as mergers and acquisitions, financial services, data protection and privacy, drafting and negotiating commercial contracts, project finance and infrastructure projects, among others.
Recent interventions
Mergers & Acquisitions
Advised two of Kenya's largest banks separately on their acquisition of majority stakes in Rwandan banks. These assignments included legal due diligence, request for no-objection from the central bank and advice on Rwandan laws concerning bank mergers and acquisitions.
Private Equity
Advised one of Rwanda's largest private equity funds on the structuring and implementation of a convertible note transaction, including conducting due diligence on the issuer, drafting the convertible note agreement and providing a legal opinion on the required regulatory approvals.
Project financing
Advised European lenders in the financing of several aircraft for a Rwandan airline. Assisted in the drafting of all necessary security documents as well as the perfection of these same guarantees on behalf of the lenders, while advising on securitization and corporate law.
Oil & Gas
Advised a multinational oil company and carried out comprehensive due diligence on the acquisition of assets in the downstream oil sector in Rwanda.
