Julia has been a member of the Guinea Bar since 2021.
She is a licensed attorney in Guinea and has extensive experience in corporate and M&A transactions, as well as in projects related to the energy, natural resources and infrastructure sectors.
Julia has advised a wide range of clients, including private and public companies as well as international organizations, on various domestic and cross-border M&A transactions, including acquisitions, restructurings, joint ventures and private equity deals, covering all relevant corporate, regulatory and other legal aspects.
Recent interventions
Rescom
Advised Rescom on its acquisition of Bel Air Mining S.A., a bauxite mining company in Guinea. The engagement involved conducting legal due diligence on the target, reviewing transaction documentation under Guinean law, and providing strategic advice on both regulatory and practical aspects of the acquisition.
Simfer S.A. (a subsidiary of Rio Tinto)
Advising Simfer S.A. (a Rio Tinto subsidiary) on the co-development of the Simandou mining infrastructure project (estimated at USD 15 billion). The assignment included advice on key aspects of project structuring, the creation of special purpose vehicles to implement the project, and the negotiation of project agreements, including the shareholders' pact.
MTN Group Limited
Advising MTN Group Limited on the sale of its activities in the Republic of Guinea (Areeba Guinée) to the State of the Republic of Guinea. The assignment included reviewing the transaction documents (share purchase agreement and transitional services agreement) and advising on the regulatory aspects of the transaction.
Adiwale Fund I
Advising Adiwale Fund I on the acquisition of an indirect minority stake in Clinique Ambroise Paré, a Guinean company involved in medical activities. The assignment included drafting and negotiating the transactional documents (investment agreement, shareholders' agreement and guarantee agreement).
