Partner, Republic of Guinea
Christina Karaouni has been a member of the Guinea Bar Association since 2018.
She is a licensed attorney in the Republic of Guinea and has extensive experience in structuring investment projects, as well as in mining, corporate and labor law.
Christina has advised and represented a wide range of clients, including private and public companies as well as international organizations, on complex transactions and regulatory issues, particularly in the energy, mining and infrastructure sectors.
Recent interventions
Simfer S.A.
Advised Simfer S.A. (a Rio Tinto subsidiary) on the co-development of the Simandou mining infrastructure project (estimated at 15 billion USD). The assignment included advice on key aspects of project structuring, the creation of project companies dedicated to implementation, as well as legal support on financing and other aspects of project development.
Bpifrance, Deutsche Bank, and UK Export Finance
Advised Bpifrance, Deutsche Bank and UK Export Finance on several sovereign financings secured by export credits, including reviewing credit agreements under Guinean law, advising on the export contracting process, issuing legal opinions and providing assistance on sovereign financing structures.
Rescom
Advised Rescom on the acquisition of Bel Air Mining S.A., a bauxite mining company in Guinea. The assignment included carrying out legal due diligence on the target, reviewing the transaction documents in accordance with Guinean law, and providing strategic advice.
Independent power producers (IPPs)
Advised several independent power producers (IPPs) in the negotiation and conclusion of concession agreements and power purchase agreements with the Republic of Guinea and the national electricity company. The assignment included drafting, reviewing and negotiating project documents, as well as ensuring their bankability and compliance with international project finance standards.
